TERMS OF USE
PLEASE READ THESE TERMS AND CONDITIONS VERY CAREFULLY.
IF YOU DO NOT AGREE TO ABIDE BY THESE TERMS AND CONDITIONS, AND ANY FUTURE TERMS AND CONDITIONS, PLEASE DO NOT USE THE SERVICES. BY ACCESSING OR USING THE SERVICES, YOU SIGNIFY THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY EACH AND EVERY ONE OF THESE TERMS AND CONDITIONS. NONCOMPLIANCE WITH ANY OF THESE TERMS AND CONDITIONS MAY LEAD TO SUSPENSION AND/OR TERMINATION OF YOUR RIGHT TO ACCESS AND ENJOY THE SERVICES.
1. THE SERVICES AND CONTENT
The Services, among other things, may allow you to access musical content, such as extracts of sound recordings, channels of continuous uninterrupted music, playlists of songs, playlists of music videos, songs, music videos, karaoke videos, concerts, audio clips, videos, album covers and/or artwork (collectively, the “Content”), under the terms and conditions set forth herein.
2. ELIGIBILITY
Except as otherwise provided for a specific Service, the Services are only available for individuals aged 18 or older, or individuals aged 13 years or older who have obtained guardian consent to this Agreement. If you have not reached the age of majority in the jurisdiction where you reside, please review this Agreement with your parent or guardian.
By creating an account for LOOPDLIVE or by using the Services, you represent and warrant that you are aged 13 years or older and agree to be bound by the terms and conditions of this Agreement. Any use of the Services by an individual under 13 years old is unauthorized and unlicensed.
3. ACCOUNT DATA
To the extent required by the applicable Service, you agree to provide complete and accurate information about yourself as may be required to sign up for the Services and at other points during use of the Services (“Account Data”).
You further agree to maintain and update such Account Data to keep it accurate, current and complete by accessing your account settings on the applicable website or application.
You are entirely responsible for all activities that take place using your account, and you agree to immediately notify LOOPDLIVE of any unauthorized use of your account or any other breach of security. LOOPDLIVE shall not be liable to you for any unauthorized use of your account.
4. REQUIREMENTS
You acknowledge that use of the Services or certain features may require the use of compatible hardware, software, internet access, and/or mobile devices, all of which remain your responsibility.
LOOPDLIVE makes no guarantee, representation or warranty that any particular device or hardware will be compatible with the Services or technologies used by LOOPDLIVE to distribute content.
You are solely responsible for ensuring your devices and systems function correctly with the Services and for paying any internet access or bandwidth fees associated with use of the Services.
5. SECURITY
You understand that the Services and Content include security frameworks and technologies designed to protect digital information and limit usage of the Services and Content in accordance with these Terms.
You agree not to violate or attempt to violate any security measures or technologies associated with the Services and agree not to reverse-engineer, decompile, disassemble, modify or otherwise tamper with any security components for any reason whatsoever.
6. ADDITIONAL PROVISIONS APPLICABLE TO LOOPDLIVE
LOOPDLIVE may offer subscriptions, artist services, uploads, memberships, premium features, and/or other digital products (“Products”) under the terms and conditions set forth in this Agreement and the following additional provisions:
a) You agree not to use, sell, rent, sublicense, share, transfer, or otherwise provide access to any Products except as expressly permitted herein;
b) You acknowledge that certain Products or features may be limited to one user, account, or device at a time;
c) Once purchased or delivered, you are responsible for maintaining access to your account and digital Products. LOOPDLIVE shall not be liable for any loss, destruction or damage arising from your failure to secure account access;
d) You agree that LOOPDLIVE and/or its payment providers may store and use your Account Data, including payment information, for billing and account administration purposes;
e) You acknowledge and agree that you obtain no ownership rights in any Content, Products or Services accessed through LOOPDLIVE except for rights expressly granted under this Agreement;
f) You agree to pay all fees applicable to Products or subscriptions purchased through LOOPDLIVE. LOOPDLIVE may charge your nominated payment method for all applicable fees, taxes, subscriptions, renewals, and related charges.
You are responsible for maintaining accurate billing information and for all charges incurred through your account. LOOPDLIVE may suspend or terminate access where payment remains overdue.
All payments must be made through approved payment providers accepted by LOOPDLIVE.
7. LIMITED LICENSE
Provided you are eligible to use the Services, LOOPDLIVE grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Content in accordance with this Agreement.
You acknowledge that all Content is licensed, not sold, to you, and that streaming or downloading Content does not transfer ownership or intellectual property rights to you.
All rights not expressly granted under this Agreement are reserved by LOOPDLIVE and its licensors.
8. RULES OF CONDUCT
You agree to use the Services and Content in compliance with the following:
a) Use of the Services and Content is for personal, private, non-commercial purposes only unless otherwise expressly authorized;
b) You will not create accounts on behalf of another person or entity without authorization;
c) You will not interfere with, damage, disable, or impair the Services;
d) You will not reproduce, scrape, copy, distribute, or commercially exploit any Content without authorization;
e) You will not attempt to circumvent or tamper with security measures associated with the Services;
f) You will not modify, duplicate, redistribute or create derivative works from the Services or Content except as expressly permitted;
g) LOOPDLIVE may modify or discontinue Services at any time without liability;
h) You agree to comply with all applicable laws and regulations when using the Services.
LOOPDLIVE reserves the right to modify these rules at any time.
9. CONTENT AVAILABILITY AND PRICING
You acknowledge that Services and Content availability may vary by country or territory.
LOOPDLIVE reserves the right to modify pricing, content availability, subscriptions, and Services at any time without notice.
10. OBJECTIONABLE MATERIAL
You understand that Content available through the Services may contain material considered explicit, offensive or objectionable.
Your use of the Services is at your own risk and LOOPDLIVE shall not be liable for objectionable content accessed through the platform.
11. INTELLECTUAL PROPERTY
You acknowledge that the Services, Content, branding, software, designs, graphics, logos, trademarks and all associated intellectual property are owned by LOOPDLIVE, BNDR Music Group Ltd, licensors and/or partners and are protected by applicable intellectual property laws.
You obtain no ownership rights through use of the Services.
12. THIRD PARTY SERVICE PROVIDERS
LOOPDLIVE may integrate with or provide links to third-party websites, payment providers, social media platforms and other services.
LOOPDLIVE is not responsible for the availability, accuracy, content, products or services provided by third parties.
Use of third-party services may be subject to additional terms and conditions imposed by those third parties.
13. COPYRIGHT CLAIMS
LOOPDLIVE respects intellectual property rights and complies with applicable copyright laws.
If you believe material available through the Services infringes your copyright, please provide:
1. Your physical or electronic signature;
2. Description of the copyrighted work;
3. Description and location of infringing material;
4. Your contact information;
5. Statement of good faith belief regarding unauthorized use; and
6. Statement confirming accuracy under penalty of perjury.

14. MODIFICATION OR DISCONTINUATION OF SERVICES
LOOPDLIVE reserves the right to modify, suspend, remove or discontinue any aspect of the Services at any time without liability.
15. TERM
This Agreement commences when you access the Services and continues until terminated in accordance with this Agreement.
Provisions intended to survive termination shall remain in effect following termination.
16. TERMINATION BY LOOPDLIVE
If you fail to comply with this Agreement, LOOPDLIVE may suspend or terminate your access to the Services without notice.
17. CONSENT TO USE YOUR INFORMATION
You agree that LOOPDLIVE may collect and use Account Data, technical data, usage information and device information to operate, improve and info the Services.
You further agree that LOOPDLIVE may disclose Account Data where reasonably necessary to comply with legal obligations, enforce this Agreement, investigate violations or protect the Services.
18. PRIVACY POLICY
Your use of the Services is subject to the LOOPDLIVE Privacy Policy, which forms part of this Agreement.
19. YOUR REPRESENTATIONS AND WARRANTIES
You represent and warrant that:
(i) your Account Data is accurate and complete;
(ii) you are legally permitted to use the Services; and
(iii) you will comply with all applicable laws and third-party terms.
20. DISCLAIMERS
The Services and Content are provided “as is” and “as available.”
LOOPDLIVE makes no warranties regarding uninterrupted availability, accuracy, reliability or fitness for a particular purpose.
LOOPDLIVE disclaims all implied warranties to the maximum extent permitted by law.
21. INDEMNIFICATION
You agree to indemnify and hold harmless LOOPDLIVE, BNDR Music Group Ltd, affiliates, directors, officers, employees, contractors and licensors from any claims, liabilities, damages, costs or expenses arising from your breach of this Agreement or misuse of the Services.
22. LIMITATION OF LIABILITY
To the fullest extent permitted by law, LOOPDLIVE and its affiliates shall not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the Services.
LOOPDLIVE’s aggregate liability shall not exceed the amount paid by you, if any, for use of the applicable Services.
23. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with applicable laws in the jurisdiction determined by LOOPDLIVE and/or BNDR Music Group Ltd.
24. ENTIRE AGREEMENT
This Agreement, together with the LOOPDLIVE Privacy Policy and any additional terms, constitutes the entire agreement between you and LOOPDLIVE regarding use of the Services.
25. SEVERABILITY
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
26. WAIVER
Failure by LOOPDLIVE to enforce any provision shall not constitute a waiver of rights.
27. CHANGES TO THIS AGREEMENT
LOOPDLIVE may revise or update this Agreement at any time.
Continued use of the Services following updates constitutes acceptance of revised terms.

29. ELECTRONIC COMMUNICATIONS
By using the Services and providing your email address, you consent to receiving communications from LOOPDLIVE electronically, including notices, updates, service announcements and changes to this Agreement.
You agree that electronic communications satisfy any legal requirement that such communications be in writing.

CAN YOU ACCESS YOUR PERSONAL INFORMATION?
You may request access to your Personal Information at any time, and LOOPDLIVE will provide access to your information in accordance with applicable laws.
To respond to your request, we may require the following information:
a) your name and address;
b) your contact telephone number(s); and
c) your LOOPDLIVE username or registered email address.
This service is generally provided free of charge. However, where archived or extensive records are requested, a reasonable administration fee may apply. You will be advised of any applicable fees before your request is processed.
We will act on all reasonable requests as soon as practicable upon receipt.
UPDATING YOUR PERSONAL INFORMATION
LOOPDLIVE will take reasonable steps to ensure that your Personal Information is accurate, complete, and up to date.
To help us provide the best possible service, you should ensure your information remains current. If your Personal Information changes, please update your details as soon as practicable.
You may review, update, correct, or delete your Personal Information through your LOOPDLIVE account settings or by contacting our support team directly.
USE OF SERVICE BY CHILDREN
LOOPDLIVE services are not intended for children under the age of 13.
If a user indicates they are under 13 years of age, registration may be restricted and personally identifiable information will not knowingly be collected, except where required to prevent repeated unauthorised registration attempts.
Users between the ages of 13 and 18 should obtain permission from a parent or legal guardian before using LOOPDLIVE services or providing Personal Information.
SECURITY
LOOPDLIVE takes reasonable steps to protect Personal Information against unauthorised access, collection, use, disclosure, modification, loss, or misuse.
We utilise industry-standard security technologies and procedures, including encrypted data transmission, secure servers, firewalls, password protection systems, and access controls designed to safeguard Personal Information.
Access to Personal Information is restricted to authorised employees, contractors, affiliates, and service providers who reasonably require access to perform services on behalf of LOOPDLIVE.
Users are responsible for maintaining the confidentiality of their account credentials and should select strong, unique passwords. If using a shared device, users should ensure they log out after each session.
While LOOPDLIVE takes commercially reasonable steps to secure Personal Information, no method of internet transmission or electronic storage is completely secure, and we cannot guarantee absolute security at all times.
Any third-party service provider processing data on behalf of LOOPDLIVE must implement appropriate security measures and safeguards consistent with applicable privacy laws.

LOOPDLIVE reserves the right to update or modify this Privacy Policy at any time by publishing an updated version on its platform or website.

If you do not agree with this Privacy Policy, you should discontinue use of LOOPDLIVE services immediately.

APPLICATION OF TERMS OF SERVICE
This Privacy Policy forms part of the LOOPDLIVE Terms of Service and should be read in conjunction with those terms. Any capitalised terms not otherwise defined in this Privacy Policy shall have the meanings given to them in the Terms of Service.
